Chemical Technology Transfer Agreement This Agreement is made and entered into this ___ day of ___, 20XX, by and between [Transferor's Name], a company organized and existing under the laws of [Transferor's Country], with its principal office located at [Transferor's Address] (hereinafter referred to as "Transferor"), and [Transferee's Name], a company organized and existing under the laws of [Transferee's Country], with its principal office located at [Transferee's Address] (hereinafter referred to as "Transferee"). Recitals WHEREAS, Transferor is engaged in the business of [specific chemical technology field], and possesses certain technology, expertise, and know-how in this field; WHEREAS, Transferee desires to obtain and Transferor agrees to transfer the said technology, expertise, and know-how under the terms and conditions set forth herein. Agreement Definition of Technology: The term "Technology" as used herein shall mean all technical information, including but not limited to, patents, unpatented inventions, designs, processes, formulas, data, know-how, improvements, and trade secrets related to [specific chemical process or product]. Transfer of Technology: Transferor hereby agrees to transfer and disclose, and Transferee agrees to accept the Technology as described in Exhibit A attached hereto. Use of Specified Key Raw Materials: a. Transferee agrees to use certain key raw materials specified by Transferor (the “Specified Raw Materials”) for a period of [number] years post commencement of production. b. The list of Specified Raw Materials and their suppliers shall be as outlined in Exhibit B attached hereto. c. Transferee shall not substitute the Specified Raw Materials with alternative materials without the prior written consent of Transferor. Confidentiality: Transferee shall maintain strict confidentiality of the Technology and shall not disclose any part of it to third parties without prior written consent of Transferor. Term and Termination: This Agreement shall be effective from the date of execution and shall continue in full force and effect for a period of [number] years unless terminated earlier as provided herein. Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of this Agreement shall be settled by arbitration in [Location] in accordance with the rules of [Arbitration Association].
